CERTIFICATE OF INCORPORATION
of
VOORHEES ENVIRONMENTAL AND RECREATIONAL ALLIANCE,
a New Jersey Nonprofit Corporation
This is to certify that there is organized a corporation under and by virtue of the New Jersey Nonprofit Corporation Act (New Jersey Statutes Title 15A:2-8).
FIRST: The name of the Corporation is Voorhees Environmental and Recreational Alliance, a New Jersey Nonprofit Corporation.
SECOND: The purposes for which the Corporation is organized, are, to the extent permissible under the New Jersey Nonprofit Corporation Act (New Jersey Statutes Title 15A), as follows:
A. To lobby for the preservation and acquisition of significant open space in the Township of Voorhees, Camden County, New Jersey, and other areas.
B. To encourage the Township of Voorhees to review existing ordinances and to adopt stricter ordinances and enforcement measures that protect the environment.
C. To develop a network of concerned citizens to monitor Voorhees Township Planning Board applications.
D. To provide support to the Voorhees Township Environmental Advisory Board.
E. To maintain a presence at the Voorhees Township Master Plan review; and
F. To help make environmental matters an important part of local election campaigns.
G. To engage in any activity within the purposes for which corporations may be organized under the New Jersey Nonprofit Corporation Act.
THIRD: The address of the Corporation’s registered office is: 101 Forrest Hills Drive, Voorhees, NJ 08043, and the name of the Corporation’s registered agent at such address is: Lori Volpe.
FOURTH: The Corporation shall have members. The qualification for membership shall be as set forth in the bylaws.
FIFTH: The method of electing trustees shall be as set forth in the bylaws of the Corporation.
SIXTH: The first Board of Trustees of the Corporation shall consist of nine (9) trustees, whose names, addresses, and initial terms are:

SEVENTH: The names and addresses of the incorporators are:
EIGHTH: The method of distribution of assets upon dissolution of the Corporation shall be as set forth in the bylaws of the Corporation.
NINTH: The duration of the Corporation shall be perpetual.
TENTH: To the full extent from time to time permitted by the New Jersey Nonprofit Corporation Act, as currently amended or supplemented, or any successor statute, and to the full extent otherwise permitted by law, no trustee or officer of the Corporation shall be personally liable to the Corporation or its members for breach of any duty owed to the Corporation or its members. Neither the amendment or repeal of this Article TENTH, nor the adoption of any provision of this Certificate of Incorporation inconsistent with this Article TENTH, shall eliminate or reduce the protection afforded by this Article TENTH to a trustee or officer of the Corporation in respect to any matter which occurred, or any cause of action, suit or claim which but for this Article TENTH would have accrued or arisen, prior to such amendment, repeal or adoption.
